Valley Commerce Bancorp

Valley Commerce Bancorp was formed in 2002 to serve as the holding company and sole shareholder of Valley Business Bank. The Company has one other subsidiary, Valley Commerce Trust I, which was formed in 2003 for the purpose of issuing trust preferred securities.

Valley Commerce Bancorp stock trades on the OTC Bulletin Board under the symbol VCBP.OB. Reports filed with the Securities and Exchange Commission are available through this Web site and SEC's Web site at www.sec.gov.

Substantially all of the Company's business is conducted through the Bank. Valley Business Bank is a California state-chartered commercial bank that commenced operations in 1996. The Bank offers a full range of commercial banking services and maintains three branch offices and one loan production office in Tulare County and one branch in Fresno County. Tulare County and adjoining Fresno, Kings, Madera and Kern Counties, which together comprise the South San Joaquin Valley, rank among the leading counties in the United States for agricultural production. The relatively low cost of land in the South San Joaquin Valley has promoted residential and commercial development, making it one of the fastest growing regions in California. We want to expand the Bank's presence in the South San Joaquin Valley by opening de novo branches and loan production offices, and by acquiring branches from other institutions.

The Board of Directors of Valley Commerce Bancorp is comprised of the same individuals that serve as directors of Valley Business Bank. The directors are long time residents of the South San Joaquin Valley and are actively involved in the key decision-making processes of the Company.

The Board of Directors is also responsible for corporate governance and holds itself, management, and employees to the highest standards for ethical behavior and compliance with banking laws and regulations.
